A Poetic Space

1. Definitions and Interpretation
1.1 “A Poetic Space”, “We”, “Us”, or “Our”
Refers to A Poetic Space, its owner, contractors, representatives, and authorised personnel.
1.2 “Client”
Means any individual, sole trader, partnership, company, trust, clinic, or organisation over the age of eighteen (18) engaging A Poetic Space for Services, including but not limited to healthcare practitioners, APHRA-registered practitioners, wellness professionals, and service-based businesses.
1.3 “Services”
Refers to all services provided by A Poetic Space, including but not limited to:
Personal Assistant (PA) and Virtual Assistant (VA) services
Customer journey support and optimisation
Administrative assistance
Drafting, editing, or preparing communications, educational content, emails, documents, and operational materials
Booking system support and workflow management
Basic social media assistance and content preparation
Business organisation, systems support, and operational flow assistance
Any other agreed support services provided verbally, digitally, or in writing
1.4 “Content”
Means any written, digital, visual, or verbal material prepared, drafted, edited, structured, or supported by A Poetic Space, including but not limited to emails, social media captions, educational material, client communications, website text, internal documents, and workflow resources.
1.5 “Tailored Services”
Acknowledges that all Services and Content are customised to the Client’s individual needs, voice, tone, business model, professional obligations, and perspective. No two clients receive identical services.
1.6 “APHRA Practitioner”
Means any Client registered or regulated under the Australian Health Practitioner Regulation Agency (APHRA) or any similar regulatory body.
2. Nature and Scope of Services
2.1 A Poetic Space provides operational, administrative, content, and workflow support services only.
2.2 A Poetic Space does not provide:
Medical, psychological, legal, financial, or clinical advice
Diagnosis, treatment, or therapeutic recommendations
Regulatory approval, ethical clearance, or professional endorsement
2.3 Services are supportive in nature and rely on information provided by the Client. Outcomes depend entirely on the Client’s decisions, actions, and implementation.
2.4 Nothing provided by A Poetic Space constitutes professional advice or replaces advice from appropriately qualified professionals.
3. Client Responsibilities (Critical Clause)
3.1 The Client acknowledges and agrees that they are solely responsible for:
Reviewing all Content before use or publication
Ensuring all Content complies with their professional, ethical, regulatory, and legal obligations
Confirming that Content falls within their scope of practice
3.2 APHRA-Registered Practitioners
The Client expressly acknowledges that:
All Content must be reviewed, approved, and authorised by the Client prior to publication
Compliance with APHRA advertising guidelines, codes of conduct, and professional standards is entirely the Client’s responsibility
A Poetic Space bears no liability for breaches of professional regulations, ethical codes, or scope of practice
3.3 The Client warrants that all instructions, materials, and information provided to A Poetic Space are lawful, accurate, and do not infringe third-party rights.
4. Acceptance of Terms
4.1 By engaging A Poetic Space, making payment, or continuing to receive Services, the Client confirms acceptance of these Terms.
4.2 These Terms apply to all Services, including those already commenced or completed.
4.3 A Poetic Space reserves the right to update these Terms at any time. The latest version will apply from the date published.
5. Confidentiality
5.1 Both parties agree to keep all confidential information strictly confidential.
5.2 Confidential information includes, but is not limited to:
Business operations
Client lists
Financial information
Login details
Draft content and internal processes
5.3 Confidentiality obligations survive termination of Services.
5.4 Disclosure may occur where required by law or to deliver agreed Services.
6. Payments, Packages, and Fees
6.1 All fees are payable in Australian Dollars (AUD) via Direct Bank Transfer or Square.
6.2 Monthly Packages
Packages are billed monthly in advance
The first month is non-refundable
Services are allocated according to the agreed package (e.g., hours per week)
6.3 Additional work outside the agreed scope requires written approval and may incur additional fees.
6.4 Late payments may incur interest and recovery costs to the maximum extent permitted by law.
7. Termination
7.1 After the first month, either party may terminate the agreement with one (1) week’s written notice.
7.2 Termination must be submitted in writing via email.
7.3 Upon termination:
Services cease at the end of the notice period
Completed work up to that date will be delivered
No refunds are provided for unused time within a billing period
7.4 Immediate termination may occur for serious misconduct, breach of confidentiality, or unlawful behaviour.
8. Communication, Feedback, and Dissatisfaction
8.1 The Client agrees to communicate concerns, dissatisfaction, or requests for changes in writing as soon as reasonably practicable.
8.2 A Poetic Space will make reasonable efforts to address concerns within the scope of Services.
8.3 Failure to raise concerns in writing does not constitute grounds for refund or liability.
9. Delays and Force Majeure
9.1 A Poetic Space is not liable for delays caused by events beyond reasonable control, including but not limited to illness, power outages, internet failure, natural disasters, or government restrictions.
10. Intellectual Property
10.1 Upon full payment, the Client owns the final approved Content.
10.2 Draft materials remain the property of A Poetic Space until payment is received.
10.3 The Client is responsible for lawful and ethical use of all Content.
11. Disclaimer and No Guarantees
11.1 Services and Content are provided on an “as is” basis.
11.2 No warranties or guarantees are made regarding:
Business growth
Revenue
Client acquisition
Compliance outcomes
11.3 Success depends entirely on the Client’s independent actions.
12. Indemnity
12.1 The Client agrees to indemnify and hold harmless A Poetic Space from all claims, losses, damages, costs, and expenses arising from:
Use or publication of Content
Breach of professional obligations
Regulatory or ethical non-compliance
Client instructions or omissions
13. Limitation of Liability
13.1 To the maximum extent permitted by Australian law:
Liability is limited to the total fees paid
No liability for indirect, consequential, or punitive damages
14. Data Security and Privacy
14.1 Reasonable steps are taken to protect Client information.
14.2 The Client acknowledges that electronic communication carries inherent risks.
15. Governing Law and Jurisdiction
15.1 These Terms are governed by the laws of Queensland, Australia.
15.2 Parties submit to the exclusive jurisdiction of Queensland courts.
16. Retrospective Application
16.1 These Terms apply to all Services provided by A Poetic Space, past and present.
17. Client Acknowledgment
By engaging A Poetic Space, the Client confirms that they:
Have read and understood these Terms
Accept full responsibility for reviewing and approving all Content
Understand that A Poetic Space provides support services only
Agree to indemnify A Poetic Space to the fullest extent permitted by law
